User Agreement — The Parties Agree:

Part 1 — Terms of Service

  1. Client will be given confidential information for hiring purposes.
  2. Client agrees to provide data only to designated authorized agents. Information may only be obtained in connection with the Client's or its authorized agent's official duty. Obtaining information under false pretenses is punishable by law. Client will use information only in accordance with the Fair Credit Reporting Act, 15 USC 1681 (FCRA), the Americans with Disabilities Act (ADA), and all other applicable state and federal laws. Client acknowledges receipt of all required notices required by the FCRA.
  3. Client agrees to hold harmless and indemnify True Hire against any loss, including reasonable attorney's fees, from any claims arising from the misuse of information by Client.
  4. True Hire is a "Consumer Reporting Agency," pursuant to the FCRA, and all material provided by True Hire to Client shall constitute a "Consumer Report."
  5. True Hire maintains the most accurate methods and sources for the data it collects; however, True Hire does not guarantee the accuracy of all information. True Hire does guarantee it will use the most current and professionally accepted methods of data collection. Client agrees to hold True Hire harmless for any loss or injury arising from True Hire's mistakes unless due to True Hire's negligence or willful actions.
  6. Any breach of this agreement shall constitute a material breach and shall be grounds for True Hire to terminate this agreement immediately without prior notice. Additionally, this agreement may be terminated upon 30 days written notice by either party.
  7. Client understands it must have a permissible purpose for ordering information and agrees to comply with disclosure and authorization requirements as required by the FCRA.
  8. True Hire advises client they have specific legal requirements in the use of consumer reports and should consult with legal counsel.
  9. Client shall be responsible for obtaining and keeping on file a signed release from all applicants as required by the FCRA.
  10. If any amount due True Hire needs to be placed for collection, Client shall be liable for the full amount, interest, late fees, and costs of collection including attorney's fees.
  11. Client understands there are legal requirements when taking adverse action based on consumer reports and agrees to comply with adverse action procedures required by the FCRA.

Part 2 — Data Protection & Privacy

  1. True Hire advises client they have specific legal requirements regarding taking adverse action against a consumer based on a consumer report.
  2. Client understands CRA is not legal counsel and cannot provide legal advice. Client/User understands the sensitive nature of consumer reports and agrees to: (a) Limit dissemination of consumer information to only those with legitimate need; (b) Retain consumer data confidentially; (c) Destroy data securely by burning, pulverizing, or shredding paper records and erasing electronic files; (d) Protect the privacy of consumer information in motor vehicle records and access DMV records only with written consumer consent.
  3. The undersigned is duly authorized individually and/or on behalf of the Client to execute and carry out this agreement.
  4. This agreement shall become effective immediately upon being signed by both parties.
  5. This is the full and complete agreement between the parties. Any changes must be in writing and signed by both parties.
  6. Employment Verifications Only: Client agrees to hold harmless TALX and any employer about whom information is sought from any liability arising from dissemination of information by TALX to Client through True Hire.
